Denis A. (Archie) Fallon is a partner in the Corporate & Financial Services Department, and is the Managing Partner of the firm’s Houston office. He is Co-Chair of the Project Finance & Investment Practice Group. Mr. Fallon represents private equity funds and corporate clients in strategic transactions primarily in the energy and infrastructure sectors. Mr. Fallon has particular experience advising on platform investments, mergers and acquisitions, financings, joint ventures, recapitalizations and project development. Many of Mr. Fallon's clients invest in infrastructure across the risk-return spectrum, including midstream, power, renewable, transportation and other core assets.

Mr. Fallon regularly writes and speaks to groups regarding trends affecting private equity investments in the energy and infrastructure sectors.

Chambers USA (2023) and Chambers Global (2024) rank Mr. Fallon nationally for his work in the area of Energy: Oil & Gas (Transactional). Mr. Fallon was named as one of Law360's MVPs in the area of Project Finance. He has also been recognized as a Law360 Rising Star in the area of Energy.

Mr. Fallon is actively involved in energy industry organizations, including serving as Chair of the Renewables Practice Committee at Institute for Energy Law (IEL). He also serves on the advisory board of the Renewable Energy Alliance - Houston (REAL Houston).

  • Representation of UGI Corporation in the PennEast Pipeline Company, a joint venture among Spectra Energy, AGL Resources and NJR Pipeline Company to construct a 100-mile, 1 Bcf-per-day pipeline intended to bring natural gas produced in the Marcellus Shale region to consumers in Pennsylvania and New Jersey.
  • Representation of Southern Co. (formerly AGL Resources) in a joint venture with Northstar Midstream, an Oaktree company, to develop a small scale LNG production facility for transportation fuel. The facility utilizes the first LNG bunker barge in the U.S.
  • Representation of Silver Creek Midstream Holdings, LLC, a Tailwater Capital-backed company, in its investment into a joint venture with Tallgrass Energy Partners LP to develop pipeline assets in the Powder River Basin.
  • Representation of GE Ventures in the formation of the "Last Mile" joint venture with Ferus Natural Gas Fuels, a subsidiary of The Energy & Minerals Group, which delivers compressed natural gas liquids to oil field service customers with high horsepower engines.
  • Representation of HEP Liquids LP, a vehicle managed by Haddington Ventures, LLC, and Magnum Development, LLC, in an investment into a joint venture with NGL Energy Partners LP called Sawtooth NGL Caverns.
