Willkie advised Carrix, the largest marine and intermodal rail terminal operator in North America, and among the world’s largest privately held independent terminal operators, on its $5.5 billion refinancing transactions.
The transactions included an offering of $2.5 billion aggregate principal amount of 6.125% senior secured notes due 2033, Carrix’s debut Rule 144A high-yield bond issuance, and new senior secured credit facilities, consisting of a $2.5 billion term loan b facility, a $500 million delayed draw facility and a $1.0 billion revolving credit facility. The transactions closed on July 27, 2026.
The proceeds were used to repay all outstanding indebtedness under the company’s existing private placement notes and credit facilities, provide cash for ongoing growth projects and fund a distribution to its direct and indirect shareholders.
