Pursuant to a securities purchase agreement dated May 28, 2026, GMS Ventures and Investments purchased 8,539,709 shares of common stock at $0.5855 per share, priced at-the-market under Nasdaq rules. The offering was made under the Company’s effective shelf registration statement on Form S-3 and closed on May 29, 2026. In connection with the offering, the Company amended outstanding warrants held by GMS Ventures and Investments covering up to 15,488,570 shares, reducing the exercise price from a weighted average of $1.78 to $0.5855 per share.
