Willkie advised Irenic Capital Management on its cooperation agreement with Atkore Inc. (NYSE: ATKR) relating to the appointment of directors to the Atkore board of directors and an expanded review of strategic alternatives for Atkore that now includes a potential sale or merger of the entire company.
On November 20, Atkore, a leading manufacturer of electrical products for commercial, industrial, data center, telecommunications, and solar applications, announced that it expanded the scope of its previously announced strategic alternatives review and entered into a cooperation agreement with Irenic Capital Management to advance the effort to maximize shareholder value.
Under the cooperation agreement, Atkore will expand its board of directors and appoint Franklin Edmonds as its tenth director. In addition, the board will form a Strategic Review Committee to oversee, evaluate and provide advice on the strategic alternatives, including a potential sale or merger of Atkore. Bruce Taten will be appointed to serve as a Special Advisor to the Strategic Review Committee.
