Willkie represented McGraw Hill, Inc., a leading global provider of information solutions for education, in its initial public offering that raised approximately $415 million and values the company at over $3.25 billion.
On July 25, McGraw Hill, a portfolio company of Platinum Equity, closed its initial public offering of approximately 24.4 million shares of its common stock sold in the aggregate by the company at a public offering price of $17.00 per share. In addition, the underwriters have an option to purchase up to an additional 3.7 million shares to cover over-allotments.
Shares of McGraw Hill’s Common Stock trade on the New York Stock Exchange under the ticker symbol “MH”.
Willkie previously served as financing counsel to Platinum Equity on its $4.5 billion acquisition of McGraw Hill in 2021 and counsel to McGraw Hill in its $650 million Senior Secured Notes offering and the repricing of its Term Loan in August 2024.
