Briony Pollard is a partner in Willkie’s Privacy, Cybersecurity & Data Strategy group. She is based in Willkie’s London office.

Briony advises on the data protection and privacy aspects of corporate, M&A and private equity transactions and commercial agreements, as well as data protection, privacy and cybersecurity related governance and risk management, crises and investigations. Her practice also involves advising on the creation, development and investment in data driven products and services, helping clients to navigate the legal risks, challenges and opportunities involved, as well as the business implications of existing, new and evolving legislation and regulation.

She also advises clients on intellectual property procurement, licensing and litigation, separation and carve-out matters, and other general commercial matters, including transitional services, development, sponsorship, manufacturing, R&D, and supply and distribution agreements. 

Briony has advised on transactions across a wide range of sectors including technology, media and telecommunications (TMT), life sciences, financial services, fintech, retail and consumer goods, travel, entertainment and sports.

  • Advent International and portfolio company IRCA on the acquisition of the trade and assets of Ireland-based Kerry’s Sweet Ingredients Portfolio 
  • Advent International on the (a) acquisition of Transaction Services Group and numerous add-on acquisitions; (b) acquisition of Williams Lea Tag from DHL (and onward sale of the Tag business); (c) acquisition of a co-controlling stake in Planet Payment Group
  • Advent International and portfolio company Laird on the carve-out sale of Connected Vehicle Solutions, Connectivity, Performance Materials and Thermal Systems divisions
  • A private equity-owned marketing data and analytics business on the merger and carve-out and sale of its Health division to a US-based health information technology provider
  • Cobham (a portfolio company of Advent International) on the carve-out and sale of its: (a) Aerospace Connectivity division to TransDigm Group Inc. for $965m; and (b) Aviation Services UK division 
  • Transaction Services Group (a portfolio company of Advent International) on the merger with Clearent (also a portfolio company of Advent International) to form Xplor Technologies
  • M&G; Catalyst as lead investor in the $168m Series B fundraising of Vaccitech, a spin-out from the University of Oxford which co-invented the Oxford-AstraZeneca COVID-19 vaccine, and on the IPO of Vaccitech
  • A multi-asset alternative investment firm on the (a) $4bn acquisition of 60% of a marketing data and analytics business; and (b) the £1.2bn take private of a digital insurance company
  • Bain Capital Credit on its bid to acquire LV=
  • General Atlantic on its minority investment in Greensill and subsequent sell down to Softbank, its strategic investment in Kiwi.com and PropertyFinder
  • VINCI Airports on its acquisition of a majority stake in Gatwick Airport from Global Infrastructure Partners
