Noah Goodman is counsel in Willkie’s Corporate & Financial Services Department and Private Equity Practice Group. He is based in the Firm's Los Angeles office.
Noah has significant experience advising private equity sponsors and public and private companies on a variety of M&A transactions and other complex matters. Additionally, Noah counsels corporate executives and operators on day-to-day business needs, executive employment matters, incentive equity arrangements and commercial agreements. His varied industry experience spans technology, industrials, healthcare, aerospace, chemicals and more.

Experience
Before joining Willkie in 2025, Noah served as a senior M&A attorney at a publicly traded healthcare company and as counsel at Bartlit Beck LLP.

- Invitae Corporation (formerly NYSE: NVTA) in connection with several M&A matters, including its bankruptcy sale to Labcorp Holdings Inc. (NYSE: LH) and carveouts of several complex business lines.
- Platte River Equity in connection with numerous transactions and general corporate counseling in industrials, aerospace and chemicals, including investments in various platform businesses, add-on acquisitions and divestitures.
- Cloud Elements, Inc., an API integration platform, in its sale to UiPath (NYSE:PATH).
- MFG Chemical, LLC, a manufacturer of specialty chemicals, in its disposition of a chemical manufacturing facility to Solenis.
- Talkot Capital, LLC in the formation of Platte Street Minerals I, LP and its subsidiary series LLC, a fund designed to identify, purchase and sell undervalued assets in the oil and gas sector.
- Mortara Instrument, Inc., a provider of diagnostic cardiology and patient monitoring solutions, technologies and devices, in its sale to Welch Allyn, Inc., a subsidiary of Hill-Rom Holdings, Inc. (NYSE: HRC).
- Trumpet Search, LLC in its sale of all of the equity of Trumpet Behavioral Health, LLC, a provider of applied behavior analysis for individuals with autism spectrum disorder in client home, public or private schools or company-operated clinic-based settings to an affiliate of MTS Health Investors, LLC.
