Willkie is advising Churchill Capital Corp XI (NASDAQ: CCXI), a publicly traded special purpose acquisition company, on its $2.5 billion merger with Agility Robotics, Inc., a leading humanoid robotics and physical AI company.
On June 24, Churchill Capital Corp XI and Agility Robotics announced that they entered into a definitive business combination agreement, through which Agility Robotics will become a publicly traded company. Upon closing of the transaction, the combined company is expected to operate as Agility and be listed on a major North American exchange under the ticker symbol “AGLT.”
The business combination is expected to create the only U.S. publicly listed pure-play humanoid company with proven, active commercial deployments. Agility Robotics’ flagship humanoid robot, Digit, is currently operating in manufacturing, distribution, and logistics environments to fill chronic physical labor shortages.
