Willkie Team Secured Global Antitrust Clearance Across Nearly 20 Jurisdictions  

 

Willkie advised longstanding client The Interpublic Group of Companies, Inc. (NYSE: IPG) on the successful completion of its acquisition by Omnicom (NYSE: OMC) in a stock-for-stock transaction creating the world's leading marketing and sales company. Willkie served as deal counsel and antitrust counsel to Interpublic.

 

On November 26, Omnicom announced the completion of its acquisition of Interpublic, a global provider of marketing solutions, following receipt of all necessary regulatory approvals and satisfaction of the other closing conditions. The combined company, with a pro forma combined revenue in excess of $25 billion, will trade under the OMC ticker symbol on the New York Stock Exchange.

 

Under the terms of the agreement, Interpublic shareholders received 0.344 Omnicom shares for each share of Interpublic common stock they owned. Legacy Omnicom shareholders own approximately 60.6% of the combined company and legacy Interpublic shareholders own approximately 39.4%, on a fully diluted basis.

 

Willkie previously advised Interpublic on numerous transactions, including its sale of R/GA to Truelink Capital in March 2025, its sale of Huge to AEA investors in December 2024, and its $2.3 billion acquisition of Acxiom Marketing Solutions in 2018.
