Willkie represented Karman Space & Defense (NYSE: KRMN), a leader in the rapid design, development and production of critical, next-generation system solutions for launch vehicle, satellite, spacecraft, missile defense, hypersonic and UAS customers, in its acquisition of Five Axis Industries, a leading supplier of advanced engine subsystems for major commercial space programs.
On October 30, Karman Space & Defense announced that it acquired Five Axis, a rapidly growing leader in the engineering and manufacturing of specialized nozzle and fuel systems for launch vehicle engines. Karman increased its existing Term Loan B to finance the acquisition. Willkie also acted as financing counsel to Karman.
Willkie previously represented Karman in numerous transactions, including its recent acquisitions of Industrial Solid Propulsions and Metal Technology Inc., as well its initial public offering earlier this year.
The Willkie corporate team was led by partner Brandon McCoy with associates Omar Shariff, Morgan Butkus and R. Connor Brown. Partner Andres Mena and associates Robert Mostek, Lindsey Girkin and Montgomery Nelson advised on financing aspects of the transaction.
