Lennar Corporation: Represented various parties in multiple offerings by this Florida-based builder of affordable, move-up and retirement homes in 17 states, including:

  • Lennar as issuer in its offering of $650 million aggregate principal amount of its 4.50% Senior Notes due 2024.
  • Lennar as issuer in its offering of $600 million aggregate principal amount of its 4.125% Senior Notes due 2022.
  • Lennar as issuer in its offering of $500 million aggregate principal amount of its 4.750% Senior Notes due 2021.

Shaw Group, Inc.: Conducted an internal investigation on behalf of the audit committee of Shaw, a Fortune 500 provider of piping systems, engineering procurement and construction services.

Suitt Construction v. Bank of Nova Scotia: Represented Bank of Nova Scotia in a lien priority dispute with Suitt, a national leader in design-build and a founding member of the Design-Build Institute of America.

Alleghany Capital Corporation/W&W|AFCO Steel: Represented Alleghany Capital Corporation in its acquisition of a majority stake in W&W|AFCO Steel, one of the largest structural steel fabrication and erection companies in North America.

Blue Wolf Capital Partners/Sterling Site Access Solutions: Represented Blue Wolf Capital Partners in its acquisition of Sterling Site Access Solutions, a leading provider of temporary ground protection and site access services.

CMA CGM Group/Fenix Marine Services/EQT Infrastructure: Represented CMA CGM Group in its $2.3 billion acquisition of Fenix Marine Services, one of the largest U.S. port terminals.

dormakaba Group/Stanley Black & Decker: Represented dormakaba Group, as U.S. counsel, in its $725 million acquisition of Stanley Black & Decker’s Mechanical Security businesses.

Intermediate Capital Group/Etanco Group/Simpson Manufacturing Co.: Represented Etanco and private equity sponsor Intermediate Capital Group in the €725 million sale of Etanco Group to Simpson Manufacturing Co.

Montefiore Investment/NGE: Advised Montefiore Investment in its acquisition of a significant stake in NGE.

Nexa Equity LLC/Leap: Represented Nexa Equity LLC in its majority growth investment in Leap, a leading provider of home contractor sales enablement software.

Peter Kiewit Sons’, Inc.: Represented Kiewit, one of the largest and most respected heavy construction and mining organizations in North America, in multiple transactions, including its sale of stock and assets comprising parts of the Continental Can Company.

QBE/Westwood Insurance Agency/BRP Group, Inc.: Represented QBE in its sale of Westwood Insurance Agency to BRP Group, Inc.

STARK Deutschland/KONZ Group: Represented STARK Deutschland GmbH in its acquisition of German building material distributor KONZ Group.

STARK Deutschland/Melle Gallhöfer/palero: Represented STARK Deutschland GmbH in its agreement to acquire Melle Gallhöfer, a leading German specialist dealer for roofs and facades, from private equity fund palero.

STARK Deutschland/Tröger & Entenmann Group: Represented STARK Deutschland GmbH on the acquisition of Tröger & Entenmann Group, a leading German provider of water and gas supply and wastewater disposal solutions.

STARK Group/Dach & Wand Handels GmbH: Represented STARK Group on the acquisition of Dach & Wand Handels GmbH, a leading Austrian building material distributor.

STARK Group/Saint-Gobain Building Distribution Ltd: Represented STARK Group on the acquisition of Saint-Gobain Building Distribution Ltd.

Truelink Capital/Trulite Glass & Aluminum Solutions: Represented Truelink Capital in its acquisition of Trulite Glass & Aluminum Solutions, one of North America's largest architectural glass and aluminum fabricators.

United Subcontractors, Inc./Trilantic North America:  Represented United Subcontractors, Inc. (USI) in an equity investment and recapitalization in partnership with Trilantic North America.

Vitale Assistance/Weinberg Capital Partners/Groupe 3iD: Represented Vitale Assistance (controlled by Weinberg Capital Partners) in its acquisition of Groupe 3iD, creating the market leader in post-insurance claim in-kind repairs.

Mechanically Locking Floor Panels Manufacturer: Successfully defended a major European manufacturer and two of its licensees in the ITC and the Court of Appeals for the Federal Circuit against claims for infringing three patents relating to methods and apparatuses for mechanically locking floor panels. The ITC properly construed the patent claims as not covering the clients’ products.
