A Willkie team led by partners Sameer Advani, Tariq Mundiya, Vanessa Richardson and Richard Li, who represented Warburg Pincus (WP) in a shareholder class action connected to the $8.9 billion sale in 2023 of urgent care provider Summit Health-CityMD to Walgreens-backed VillageMD, was recognized with a “Shout Out” by The AmLaw Litigation Daily for the dismissal of the suit in Delaware Supreme Court this week.
On December 9, Chief Justice Collins J. Seitz, Jr. affirmed the Court of Chancery’s dismissal of the lawsuit brought by minority investors against WP and six WP investment funds, dismissing the shareholder lawsuit with prejudice. The rulings hold that the implied covenant of good faith and fair dealing has limited application and reinforce the authority of fiduciary duty waivers in limited liability company agreements.
Sameer argued the appeal in the Delaware Supreme Court and the motion to dismiss in the Court of Chancery. In addition to partners Sameer, Tariq, Vanessa and Richard, the team included associates M. Annie Houghton-Larsen, Autumn Adams-Jack and Joanna Lamberta.
