Addison is counsel in Willkie’s Corporate & Financial Services Department. She represents a mix of financial institutions, corporations and developers in the development and financing of energy projects. In recent years, her practice has focused on complex project financings for utility-scale solar and battery energy storage facilities. In connection with such representations, Addison has negotiated equity capital contribution agreements, partnership agreements, credit agreements, power purchase agreements, secured hedging arrangements and tax credit purchase and sale agreements.

- Represented a financial institution as tax equity investor in a portfolio of 1.4 gigawatts PV and 3.1 gigawatts-hour storage assets located in California and Texas, including projects with novel data center offtake agreements (approximately $3 billion of tax credits).
- Represented a tax equity investor in a first-of-a kind portfolio of energy storage projects (~$900 million all-in financing) co-located at solar projects in Texas.
- Represented a tax equity investor with respect to its investment in a portfolio of 5 utility-scale solar projects located in Virginia, including debt structuring and cross-collateralization matters.
- Represented multiple institutions (sponsors and tax equity investors) in partnership-flip structure tax equity investments in over 1 gigawatt of wind energy generation and over 2 gigawatts of utility-scale solar energy generation.*
- Represented lenders in various construction financings for utility-scale solar projects located across the U.S.*
- Represented financial institutions in transfers of upstream membership interests for portfolios of operating energy assets.*
- Represented the energy commodities division of a commercial bank in providing hedge agreements for wind and solar projects.*
