Willkie is representing Hillcore Energy Capital Corporation in its alliance with Fermi Inc. (NASDAQ:FRMI)(LSE:FRMI) for the construction of a Hillcore power complex at Fermi’s Project Matador campus, one of the world's largest advanced energy and AI ecosystems, in Carson County, Texas.
 
On August 11, Fermi announced the execution of a framework agreement with Hillcore under which Hillcore will finance, build, own and operate the Hillcore Power Center, an approximately 2.6 GW power complex at the Project Matador campus, under a Build-Own-Operate-Transfer (BOOT) structure. Hillcore and its partners will finance and own the facility on their own balance sheets while Fermi delivers dedicated, behind-the-meter power with no upfront capital expenditure.
 
Hillcore Energy Capital Corporation is an entity owned by Hillcore Group, a Canadian private investment firm with more than $6 billion in assets under management, and JV Driver Group, an industrial contractor with over three decades of major-project delivery.
