Chip Lunde is a partner in the Asset Management Department. Chip counsels life insurance companies, investment companies, investment advisers, and broker-dealers on a wide variety of federal and state securities and insurance transactional and regulatory matters. Chip’s practice lies at the intersection of securities and insurance regulations governing the development, registration, distribution, and marketing of insurance, annuity, mutual fund, and other complex financial products. Chip also represents clients on a broad range of corporate and transactional matters, including insurance company acquisitions, reinsurance transactions, mergers of insurance companies, and underlying fund substitutions.

Chip’s experience includes advising issuers with respect to the creation of novel financial products and the status of insurance products as securities. Chip's experience also includes advising investment company boards, drafting and negotiating contracts between financial product issuers and their service providers, and preparing offering materials, proxy statements, no-action letters, and SEC exemptive applications.

Additionally, Chip advises on issues pertaining to the sales practices, market conduct, and other compliance issues affecting issuers and distributors of financial products. Chip also provides litigation and regulatory risk counseling on federal and state securities issues and state insurance issues, as well as assisting on regulatory exams, investigations, and proceedings.

Experience

Chip is a member of the Association of Life Insurance Counsel, the Federal Bar Association, and the Insured Retirement Institute, where he serves on the Regulatory Affairs Committee.
