Patrick R. Hanchey

Patrick Hanchey is a partner in Willkie’s Corporate & Financial Services Department. He is based in the Dallas office.
Patrick advises banks and financial institutions on state and federal banking laws, regulatory matters, enforcement actions and other corporate activities, including mergers, acquisitions, capital markets transactions and holding company formations. He has significant experience counseling clients on compliance with complex banking laws and regulations in connection with mergers, acquisitions, capital markets transactions, holding company formations and other corporate activities. In addition, he regularly represents banks, holding companies, and individuals in state and federal enforcement actions, as well as bank officers, directors, and shareholders in government actions and investigations.

- Represented Lamar Street Investment Partners LLC in its acquisition of Texas-based Fidelity Bancshares, Inc. and its wholly owned subsidiary, Fidelity Bank of Texas.
- Represented Oconee Financial Corporation and its wholly owned banking subsidiary, Oconee State Bank, in the acquisition of Elberton Federal Savings and Loan Association and the related $4.3 million offering of Oconee Financial Corporation common stock.
- Counsel to Performance Trust Capital Partners LLC, marketing agent for BV Financial Inc., the holding company for BayVanguard Bank, in its conversion transaction from mutual to stock form and related stock offering.
- Represented Charis Holdings Inc. in its sale to Vista Bancshares.
- Represented Charis Holdings Inc. in its acquisition of Justin State Bank in Justin, TX.
- Represented Waterfall Asset Management in its acquisition of Home Point Asset Management LLC.
- Represented Riverbend Lending LLC in its sale to Redwood Trust.
- Represented Happy State Bank in its sale to Home Bancshares Inc.
- Advised JAM Fintop Capital on corporate and regulatory matters related to two bank-related funds.
- Represented BancorpSouth Bank in its merger with Cadence Bancorporation, the parent company of Cadence Bank N.A.

- Represented FIG Partners as placement agent counsel in United Bancorporation of Alabama Inc.’s $26.25 million private placement of common stock.
- Represented Bright Force Holding LLC in its acquisition of American Bank N.A.
- Represented Susser Bank Holdings LLC in its acquisition of a controlling interest in BancAffiliated Inc., the parent company of Affiliated Bank.
- Represented MidCountry Financial Corp., a savings and loan holding company, in the sale of its Minnesota-based subsidiary, MidCountry Bank, to MidCountry Acquisition Corp., a corporation organized by Minnesota investors to acquire the bank.
- Represented Kadokawa Corporation, a Japan-based provider of publishing, video, and cross media services, in its acquisition of a controlling interest in J-Novel Club LLC, a U.S.-based graphic novel digital publication company.
- Represented Air Water Inc. and its wholly owned subsidiary Taylor-Wharton America Inc. in Taylor-Wharton America’s acquisition of substantially all the assets of Cryogenic Vessel Alternatives Inc., a Houston-based company.
- Represented multiple private investors in acquisitions of, and significant investments in, financial institutions.
- Represented community banks in various capital-raising efforts.
- Advised multiple regional and community banks in necessary changes to lending practices in order to ensure compliance with federal banking laws and regulations.
- Counsel to buyers and sellers of community banks nationwide.
- Counsel to several regional banks on potential charter conversions and consideration of various regulatory regimes.
- Advised numerous clients on the relevance and practical consequences of the Consumer Financial Protection Bureau to the banking industry.
- Served as de facto outside general counsel for several regional banks.
