Willkie represented Ocho Investments LLC as the lead purchaser of common stock in an $18.2 million registered direct offering by Digimarc Corporation (NASDAQ: DMRC), a provider in digital identity and authentication solutions.
As a result of the offering, Ocho has become Digimarc’s largest shareholder. Ocho, a sizeable shareholder of Digimarc since 2020, intends to continue to engage in communications with members of the Digimarc Board of Directors and management regarding the composition of the Board and the company’s capital structure, among other issues.
The Willkie team was led by partner Maurice Lefkort with associate Geeth Makepeace and law clerk Kyle Larson.
