Willkie represented Deutsche Bank Special Situations Group in connection with a new $1.12 billion second lien term loan facility for AMC Entertainment Holdings, Inc. (NYSE: AMC) as part of a comprehensive $3.97 billion debt financing.
On October 5, AMC Entertainment Holdings, Inc. announced that it completed a series of financing transactions, including the new second lien term loan facility provided by Deutsche Bank Special Situations Group in an aggregate principal amount of $1.12 billion, a private offering of $2 billion aggregate principal amount of first lien notes due 2031 and a new $850 million first lien term loan facility.
AMC will use the proceeds from the financing transactions to comprehensively refinance, redeem and discharge substantially all of AMC’s existing indebtedness, including a $425 million first lien term loan facility that Deutsche Bank previously provided to Odeon Finco PLC, a U.K. subsidiary of AMC, among other uses. Willkie previously represented Deutsche Bank in the Odeon financing.
AMC is the largest movie exhibition company worldwide with approximately 850 theatres and 9,600 screens across the globe.
The Willkie team was led by partners Joseph G. Minias, Daniel Durschlag and Weston T. Eguchi, and included partner John Ablan, counsel Bernard Funk, and associate Loren Flath.
