Willkie is representing EnCap Flatrock Midstream in connection with the sale of its portfolio company Momentum Midstream (M6) to The Williams Companies, Inc. (Williams) (NYSE: WMB) for up to $5.5 billion.
On August 3, EnCap Flatrock Midstream announced that it entered into a definitive agreement to sell M6, a leading independent midstream energy company, to Williams. The transaction consideration includes $3.5 billion in cash and approximately $2 billion of Williams equity. The transaction is subject to regulatory approval and customary closing conditions.
