Willkie is representing technology company Bending Spoons in its acquisition of AOL, the web portal and email provider, from Yahoo.

On October 29, Bending Spoons announced that it entered into a definitive agreement to acquire AOL, positioning the historic brand for its next phase of growth. Bending Spoons secured a $2.8 billion debt financing package to finance the acquisition of AOL as well as other future M&A transactions.

Willkie previously advised Bending Spoons on numerous transactions, including its acquisitions of Evernote, Meetup, StreamYard, Loomly, Issuu and MileIQ.

Bending Spoons, based in Milan, Italy, acquires and transforms digital businesses. It owns Brightcove, Evernote, komoot, Meetup, Remini, StreamYard, WeTransfer, and many others. The company’s products are used by more than 300 million people each month.
