Willkie is serving as financing counsel to Platinum Equity and its portfolio company Solenis, a leading global provider of water and hygiene solutions, in Solenis’s acquisition of NCH Corporation, a leading onsite expert in middle market water treatment and industrial solutions.
On June 19, Solenis and NCH announced that they have entered into a definitive agreement to merge the NCH business with Solenis. Under the terms of the agreement, Solenis will acquire 100% of NCH stock, creating a more diversified, customer-centric provider of water and hygiene solutions.
The transaction is expected to close by the end of 2025 following regulatory approvals and other customary conditions.
Willkie previously served as financing counsel to Platinum Equity in its $5.25 billion acquisition of Solenis in 2021, and to Solenis in its $4.6 billion acquisition of Diversey in 2023, among many other transactions.
