Willkie advised Odinsa in its sale of a 50% stake in certain of its toll road assets in Colombia and the formation of a new infrastructure platform.

Willkie recently represented Odinsa S.A., a Colombian transportation infrastructure company owned by Grupo Argos, in the sale of a 50% stake in certain of its toll road assets to a Macquarie Asset Management (MAM) fund to establish a new infrastructure platform.

This new transportation infrastructure partnership is one of the largest in Latin America and represents a significant investment for roads infrastructure in Colombia and the region. The partnership will initially manage Odinsa’s transportation projects in Colombia, which include Pacífico 2, Túnel Aburrá Oriente, Autopistas del Café and Malla Vial del Meta. The partnership will also explore opportunities to create value through the development of new road projects.

For the operation of the platform, Odinsa and MAM established a Colombian private equity fund (Fondo de Capital Privado). MAM brings extensive global experience in the transportation infrastructure sector to the platform and jurisdiction. With their combined expertise, MAM and Odinsa will seek to develop transformational initiatives that provide improvements to transportation infrastructure in Colombia and beyond.
