Willkie represents Mueller Industries and Atlas Holdings in $123 million acquisition of leading global manufacturer of compressors and related products.
On August 5, 2015, MA Industrial JV LLC, a Delaware limited liability company in which Willkie client Mueller Industries, Inc. and affiliates of Willkie client Atlas Holdings LLC each own 50%, agreed to acquire Tecumseh Products Company, a leading global manufacturer of compressors and related products.
The transaction, valued at approximately $123 million including the assumption of net debt, is expected to be completed in the third quarter of 2015.
Tecumseh Products Company is a global manufacturer of hermetically sealed compressors for residential and specialty air conditioning, household refrigerators and freezers, and commercial refrigeration applications. The company manufactures air conditioning and refrigeration compressors, as well as condensing units, heat pumps and complete refrigeration systems.
Mueller Industries, Inc. is a leading manufacturer with operations throughout the United States and in Canada, Mexico, Great Britain, and China. Its products include copper tube and fittings; brass and copper alloy rod, bar and shapes; aluminum and brass forgings; aluminum and copper impact extrusions; plastic pipe fittings and valves; refrigeration valves, vessels and fittings; and fabricated tubular products.
Atlas Holdings LLC and its affiliates own companies that operate more than 100 facilities across the globe and are engaged in a variety of industries, including aluminum processing, automotive, building materials, capital equipment, construction, energy, industrial services, packaging, paper, power generation, steel, and supply chain management.
