Converium Holding AG agrees to friendly combination with French reinsurer SCOR S.A. -- Valued at $2.8 billion.

The firm's London, Paris and New York offices are representing Converium Holding AG in connection with its now friendly combination with French reinsurer SCOR S.A.   On April 5, 2007, SCOR launched a $2.5 billion unsolicited offer to acquire each Converium registered share in exchange for 0.5 ordinary shares, with a nominal value of €7.8769723, of SCOR and 4 Swiss Francs. Under the terms of SCOR’s revised friendly offer, Converium's registered share may be exchanged for 0.5 ordinary shares, with a nominal value of €7.8769723, of SCOR and 5.5 Swiss Francs, representing a 7.9% increase in SCOR's original offer price.  Converium is an independent international multi-line reinsurer with about 500 employees in 15 offices around the world.   Converium is being represented by London partner Gregory Astrachan; New York partners Richard Posen, Tariq Mundiya, Roger Netzer and Robert Stebbins; Paris partner Laurent Faugérolas; Paris special European counsel Etienne Boursican; London associate Jonathan Gatsik; and New York associates Joanna Rotgers, Lisa Bentley, Scott Eisenberg and Theodore Neos.
