Stryker Corporation agrees to acquire all outstanding stock of SpineCore, Inc. for up to $360 million.

On July 21, Stryker Corporation announced that it has entered into a definitive agreement to acquire, by merger, all of the outstanding stock of SpineCore, Inc. for up to $360 million ($120 million up front in cash and up to an additional $240 million upon the achievement of commercialization of SpineCore's products in the United States). Willkie served as co-counsel on this deal, representing lead institutional investors Warburg Pincus and The Vertical Group (which the firm represented as selling stockholders). Founded in 2001, SpineCore has developed artificial disc technology. Willkie attorneys on the deal were partner Jeffrey Poss and associate Russell Leaf.
