Brady Sullivan is a partner in Willkie’s Litigation Department.  His practice focuses on complex commercial litigation, including securities class actions, shareholder derivative litigation, and M&A litigation.  Brady has represented public and private companies, directors, officers, and underwriting syndicates in federal and state courts, including the Delaware Court of Chancery and the New York State Commercial Division.  Brady also advises private equity firms and their portfolio companies on various transactional disputes both in and out of court.

  • The American Lawyer, Litigator of the Week, Runner-Up for Specific Performance Win in Delaware Chancery Court, 2024
  • Secured trial victory for family office in the Delaware Court of Chancery concerning a dispute over preemptive rights in a share purchase agreement.  Recognized as Litigator of the Week runner up by The American Lawyer
  • Secured the dismissal of securities claims asserted against major financial institution in the New York State Commercial Division.  
  • Obtained dismissal of all claims asserted against underwriter syndicate in the United States District Court for the Southern District of New York.
  • Represented molecular diagnostics company and its board of directors in federal securities class action and related derivative litigation in the United States District Court for the Northern District of California. 
  • Represented biopharmaceutical company in federal securities class action litigation in the United States District Court for the District of New Jersey.
  • Represented gene editing company in a confidential dispute concerning licensing royalties.   
  • Represented energy investment fund in the Delaware Court of Chancery concerning a dispute over minority investor rights under an LLC agreement.
  • Represented private equity firm in the Delaware Court of Chancery concerning the sale of a portfolio company.
  • Advised foreign acquiror in connection with litigation arising out of a public M&A transaction.
  • Represented major financial institution in confidential arbitration concerning the trading of asset backed securities.
  • Represented various private equity firms and their portfolio companies in M&A and other commercial business disputes.    
  • Represented law professors and former SEC officials as amici in securities class action appeals.
