Melainie Mansfield is a partner in the Business Reorganization & Restructuring Department. She focuses her practice on complex finance transactions and restructurings. Melainie has extensive experience with distressed situations, debt restructurings and bankruptcy matters, including debtor-in-possession and exit financing facilities, exchange offers, restructuring support agreements, credit bidding arrangements, 363 sales and Chapter 11 plans. She has advised direct and specialty lenders, investors, steering committees and debtors alike in Chapter 11 cases and out-of-court restructurings. She also has significant experience advising funds and financial sponsors on direct investments, with an emphasis on multi-layer debt financing and related intercreditor issues, asset backed lending, acquisition finance, structured finance, tech lending, distressed lending, financing for government-regulated businesses.

Regularly representing investment funds, private equity firms, hedge funds and asset managers, Melainie provides counsel on all aspects of their investments, including distressed investments, in- and out-of-court restructurings, acquisitions, and general corporate and securities law matters. Melainie also has represented both public and private companies on general corporate, acquisition and finance matters. Melainie has advised on the following selected significant matters:*

  • Distressed investment reorganizations inside and outside of bankruptcy for companies, lenders and private equity investors, including representation of lender groups in Walter Investment Management (now Ditech Financial), Vertellus Holdings, Permian Holdings, Sierra Hamilton, Breitburn Energy, Cengage and Education Management Corporation, and debtor/company representations in PHI, Inc., Velaritas, Oneida Holdings and Eagle Shipping.
  • Secured and unsecured debt financing for non-bank lenders of all types and agents under those facilities, with emphasis on special situations lending, including acting for Magnetar Capital, Tennenbaum Capital Partners, Mudrick Capital, BlueBay Asset Management and Wilmington Trust.
  • Public and private companies in the US providing general corporate representation, including representation of Ring, Purple Communications (formerly GoAmerica), Oneida Inc. and Pacific Aerospace & Electronics.
  • Acquisitions (and related financings) of public and private companies such as ITC Deltacom, Encompass Digital Media, First Advantage, Shopzilla, and Dialogic Corporation outside of bankruptcy. In addition, the acquisition of assets in bankruptcy of companies such as Radnor Holdings and Vertellus Global, and the sale of Essai, Inc. out of a court-ordered receivership.
