Melainie Mansfield is a partner in the Business Reorganization & Restructuring Department. She focuses her practice on complex finance transactions and restructurings. Melainie has extensive experience with distressed situations, debt restructurings and bankruptcy matters, including debtor-in-possession and exit financing facilities, exchange offers, restructuring support agreements, credit bidding arrangements, 363 sales and Chapter 11 plans. She has advised direct and specialty lenders, investors, steering committees and debtors alike in Chapter 11 cases and out-of-court restructurings. She also has significant experience advising funds and financial sponsors on direct investments, with an emphasis on multi-layer debt financing and related intercreditor issues, asset backed lending, acquisition finance, structured finance, tech lending, distressed lending, financing for government-regulated businesses.
Regularly representing investment funds, private equity firms, hedge funds and asset managers, Melainie provides counsel on all aspects of their investments, including distressed investments, in- and out-of-court restructurings, acquisitions, and general corporate and securities law matters. Melainie also has represented both public and private companies on general corporate, acquisition and finance matters. Her experience spans many industries, including technology and software, education, real estate, finance, healthcare, pharmaceuticals, manufacturing, chemicals, transportation, retail, energy, oil and gas, and media and telecommunications.
