Edward represents emerging and seasoned private equity, growth equity and venture capital fund sponsors on investment management matters, with a focus on fund formation, fundraising and ongoing fund operations. He advises clients on the formation, organization and operation of investment funds and their related general partner and management company entities, and he regularly negotiates with institutional investors on fund terms, economics and investor-specific arrangements.
Edward counsels sponsors throughout the fund lifecycle, including preparing and negotiating offering materials; drafting and negotiating limited partnership agreements, LLC operating agreements and related governing documents; and advising on side letters, investor relations, governance and operational matters. His experience spans a range of fund types and strategies, including venture capital (from seed to late stage), growth equity, private equity, opportunity funds, fund-of-funds, special purpose vehicles (SPVs) and real estate funds, for clients with U.S. and international investor bases.
Prior to his legal career, Edward spent over ten years at the Federal Reserve Board in Washington, D.C., where he led risk-management examinations of systemically important financial institutions and advised on strategic initiatives related to fintech innovation. He is a CFA Charterholder.
