Andrew Gordon is counsel in Willkie’s Executive Compensation and Employee Benefits Department. He is based in the Firm’s Chicago office. 

Andrew’s practice focuses on executive compensation matters arising in a broad range of strategic transactions. He advises companies and investors on employment agreements, severance arrangements, deferred compensation, retention and transaction incentives, equity-based compensation plans, and profits interests and carried interest programs. 

Experience

Prior to rejoining Willkie, Andrew was in-house executive compensation counsel at a leading global asset manager, where he advised senior business leaders, compensation partners, and HR professionals on a variety of U.S. and cross-border compensation matters.

Earlier in his career, Andrew was an associate at Willkie and another prominent Chicago law firm. He also served as a judicial law clerk for the U.S. District Court for the Northern District of Illinois and the U.S. District Court for the District of Nevada.
