Grégory de Saxcé is a partner in the Corporate & Financial Services Department of Willkie Farr & Gallagher LLP in Paris. A graduate of the Institut d'Etudes Politiques Paris (Sciences-Po Paris) and Université Paris II – Panthéon Assas, he has spent his entire professional career at Willkie Farr & Gallagher LLP within our leading Private Equity practice.

Gregory focuses on private equity transactions, with a particular focus on cross-border matters and the negotiation of complex incentive packages for rollover management (notably in competitive auctions), in the context of which he regularly advises both corporate clients and private equity funds.

Gregory is regularly active in representing longstanding private equity clients such as PAI Partners and IK Investment Partners (including their respective portfolio companies) as well as other top tier private equity funds such as Montefiore. He also regularly provides general corporate and corporate governance advice to private equity and venture capital funds.

Grégory is recognized again by Best Lawyers in 2024 for Corporate and Private Equity.

He has also been recognized as “Up and Coming” by Chambers Europe 2024 for Private Equity. A client reported that "He is great - he is good in negotiations and can see the bigger picture in cases."

  • Representing Briarwood Capital Partners in Keysight Technologies’ binding offer to key shareholders of the ESI Group, a French virtual prototyping software company.
  • Representing IK Partners on its acquisition of a majority stake in Batisanté from LGT Capital Partners.
  • Representing Montefiore Investment in its acquisition of a significant stake in NGE.
  • Representing PAI Partners on the contemplated acquisition of SDG Pharma, a world leader in the pharmaceutical glass packaging industry.
  • Representing Five Arrows Principal Investments and IK Investment Partners on agreement for Insight Partners to invest in iad, the leading French digital network of real estate agents

  • Advising CIP Capital portfolio company Compliance Solutions Strategies (CSS), a leading RegTech platform, in its acquisition of AMFINE, a provider of SaaS-based regulatory reporting services to European asset managers, asset servicers and insurers.
  • Advising IK Investment Partners in their recent:
    • Acquisition of a majority stake in Mademoiselle Desserts, a French leader in the frozen bakery industry, and the subsequent build-up acquisition by Mademoiselle Desserts of Les Délices des 7 Vallées, a French-based producer of frozen industrial cakes and pastries;
    • Acquisition of a majority stake in Questel, a global leading provider of intellectual property information and management software and services;
    • Acquisition of the Bretèche Industrie Group, a leading global manufacturer of industrial equipment for the production of food, pharmaceutical, and cosmetic products;
    • Acquisition of I@D Holding, a platform for independent real estate agents in France;
    • Disposal of Cerelia, a dough-and batter-based food specialist, to Ardian;
    • Disposal of Exxelia, a manufacturer of complex passive components and sub-systems notably for the airline industry, to HLD;
    • Reinvestment in Marle (a manufacturer of orthopaedics), as a minority shareholder, alongside Dentressangle.
  • Advising PAI Partners:
    • in their attempted bids to acquire the Souriau/Sunbank business and Accelya group;
    • in their acquisition of the Stella group, a European leader in the sun protection and closure systems;
    • in their sale of the Kiloutou Group to funds HLDI and HLD Europe;
  • Advising Oaktree Capital in their acquisition of the SAF Group, a European leader in helicopter services;
  • Advising Montefiore Investment in their leveraged buy-out and subsequent sale of the H&F group to Portuguese furniture manufacturer Aquinos Group;
