Ryan Cicero is a partner in the Corporate & Financial Services Department and a member of the Banking/Debt Finance Practice Group.  Ryan focuses on finance and corporate matters, primarily in the energy industry. Energy & Commodities

  • Represented Mercuria Energy Trading SA, as purchaser, in connection with its acquisition of JPMorgan’s physical energy and commodities business.
  • Represented Credit Suisse International and certain of its affiliates in connection with the sale of its U.S. and international portfolios of physical and financial commodity transactions to certain Citigroup affiliated entities.
  • Represented Merrill Lynch Commodities, Inc., as energy hedge provider, in connection with various wind power projects.
  • Represented The Comisión Federal de Electricidad, the state-owned electric utility of Mexico, in separate requests for proposals for the development of natural gas pipelines.
  • Represented Citigroup Global Markets Inc. and Jefferies & Company, Inc., as representatives of the initial purchasers, in connection with the issuance of $1.15 billion of 7.5% Senior Secured First Lien Notes due 2019 in a Rule 144A and Regulation S offering by Offshore Group Investment Limited, a Cayman Islands exempt company and wholly owned subsidiary of Vantage Drilling Company.
  • Represented Citigroup Inc. in connection with the issuance of $775 million of 7.125% Senior Secured First Lien Notes due 2023 in a Rule 144A and Regulation S offering by Offshore Group Investment Limited, a Cayman Islands exempt company and wholly owned subsidiary of Vantage Drilling Company.
  • Represented Exelon Corporation, as purchaser, in connection with its acquisition of Integrys Energy Services, Inc., a competitive retail electricity and natural gas subsidiary, for $319,000,000.
Lender Side Financing
  • Represented Toronto-Dominion (Texas) LLC, as administrative agent, in connection with $1,200,000,000 Amended and Restated Credit Agreement.
  • Represented Société Générale, as administrative agent and letter of credit issuer, in connection with $200,000,000 reserve-based borrowing base Credit Agreement.
  • Represented Citibank, N.A., as administrative agent, in connection with $500,000,000 reserve-based borrowing base Credit Agreement.
  • Represented Royal Bank of Scotland plc, as administrative agent, in connection with a revolving Credit Agreement.
  • Represented Wells Fargo Energy Capital, Inc. in connection with various credit facilities.
  • Represented KeyBank National Association, as administrative agent in various credit facilities.
  • Represented PNC Bank, National Association, as lead arranger and administrative agent, in connection with a senior secured credit facility.
Borrower Side Financing
  • Represented Century Aluminum Company, a producer of aluminum, in connection with its $125 million senior secured asset-based revolving credit facility provided by Wells Fargo Capital Finance and Credit Suisse AG.
  • Represented Industrial Growth Partners in connection with its acquisition and related financing by portfolio company Lexington Precision Corporation of all of the outstanding stock of QSR Holdings Co.
  • Represented Brockway Moran & Partners in connection with the issuance of a $15,000,000 dividend to the stockholders of portfolio company TEI Holdings, Inc., a Delaware corporation, and the financing related thereto.
  • Represented High Road Capital Partners in connection with the acquisition and related financing by portfolio company PANOS Brands, LLC, a manufacturer and marketer of natural and specialty food and beverage products, of Ry-Con Specialty Foods, Inc.
  • Represented Edgewater Funds in connection with the refinancing of an existing credit facility entered into by portfolio company Syrgis Performance Products, LLC, a specialty chemical manufacturer.
  • Represented Cortec Group, Inc. in connection with various acquisitions and related financings.
  • Represented The Riverside Company in connection with various acquisitions and related financings.
