Lynn Abell is an associate in the Corporate & Financial Services Department in Houston, focusing on a variety of transactions in the financial and oil & gas industries. Prior to joining Willkie, Lynn obtained valuable experience working in-house at exploration and production companies as both a landman and attorney. In addition to advising clients on acquisitions and divestitures, joint operating agreements, farmout agreements, and other joint venture arrangements, Lynn represents both borrowers and financial institutions with respect to lending transactions in a variety of sectors.

  • Represented Veritas Energy and Carnelian Energy Capital Management in the sale of Permian Basin assets to Northern Oil and Gas for $406.5 million
  • Represented Juniper Capital in its $188 million strategic investment in independent oil and gas company Penn Virginia
  • Represented JP Morgan in its $220 million volumetric production payment transaction to Antero Resources
  • Represented a financial institution in its $3B business combination with a leading private equity firm
  • Represented Contango Oil & Gas Company (NYSE American: MCF) in its Joint Development Agreement with Juneau Oil & Gas, LLC, covering certain oil and gas exploration prospects in the offshore Gulf of Mexico
  • Represented Pickering Energy Partners, a Houston-based energy investment management firm, in a strategic joint venture with Henry Resources involving investments of up to $500 million in the Permian Basin
  • Represented Houston Energy, L.P. in an agreement with a third party private equity firm for the exploration and development of certain deepwater Gulf of Mexico non-operated exploratory projects
  • Represented Riverbend Oil & Gas in a variety of oil and gas-related financings, joint ventures and acquisitions
  • Represented Juniper Capital and its portfolio companies in a wide range of oil and gas-related acquisitions, divestitures, asset-level joint venture transactions and financings
  • Represented a large bank in connection with a $400 million precious metal and copper committed consignment facility
  • Represented the commodity trading affiliate of a bank in connection with the financing of a sale of large quantity of metals
  • Represented the CapStreet Group in connection with the debt financing of several acquisitions
  • Represented a large bank in the acquisition of a volumetric production payment from a non-operating oil and gas company with assets across multiple states
  • Represented Samson Resources Company in the $44.4 million sale of its position in Converse County, Wyoming to an undisclosed buyer
  • Represented Bayou City Energy in a joint development transaction between Bayou City affiliate BCE Roadrunner and Chaparral Energy to jointly develop Chaparral’s STACK acreage in Canadian and Garfield Counties, Oklahoma
  • Represented Kalnin Ventures LLC and its subsidiaries in 5 separate transactions over a 2-year period involving the acquisition of operated and non-operated interests in upstream and midstream oil and gas assets located in the Marcellus Shale region of Northeast Pennsylvania, including the acquisition of all of Carrizo (Marcellus) LLC’s and Reliance Marcellus II, LLC’s collective interests in the region for a combined purchase price of $210 million. The remaining 4 transactions involved the acquisition of assets from the following sellers: Warren Marcellus, LLC; Zena Energy L.L.C.; Radler 2000, LP; and Tug Hill Marcellus LLC
  • Represented Samson Resources II, LLC in the $525 million sale of its East Texas and North Louisiana Assets to Rockcliff Energy II LLC
  • Represented Riverstone Holdings and its Dallas-based portfolio company in connection with oil and gas acquisitions
  • Represented a publicly listed independent exploration and production company in connection with its exit from a West African country*
  • Represented a publicly listed independent exploration and production company in connection with its prequalification, joint venture agreement and bid submission for the Mexican Shallow Water Bid Round*
  • Represented a publicly listed independent exploration and production company in the divestiture of its non-operated Alaskan assets*
