Willkie advised Karman Holdings Inc. (NYSE: KRMN), a leader in the rapid design, development and production of critical, next-generation system solutions that align with the U.S. Department of War’s core mission priorities and the nation’s accelerating demand for access to space, in connection with an underwritten public offering of 14,000,000 shares of Karman’s common stock by certain of Karman’s existing stockholders.

The offering priced on May 28, 2026, at a public offering price of $61.00 per share and closed on June 1, 2026. The total value of the offering was approximately $854 million, before underwriting discounts and commissions.

Willkie previously represented Karman in numerous transactions, including its recent acquisitions of Five Axis Industries, Seemann Composites and Materials Sciences, as well its initial public offering and follow-on secondary offering last year.
