Willkie represented LS Power Equity Advisors, LLC in connection with the sale of approximately $2.7 billion of common stock of NRG Energy, Inc. (NYSE: NRG) in an underwritten public offering.
NRG Energy recently announced the pricing of an underwritten public offering of 14,300,000 shares of its common stock held by certain affiliates of LS Power at a price of $164.00 per share. The underwriters also exercised their 30-day option to purchase up to an additional 2,145,000 shares of common stock. The secondary offering closed on March 4, 2026.
Willkie previously advised LS Power on its sale of a power portfolio to NRG Energy for approximately $13 billion in cash and NRG common stock.
