Partners Dr. Kamyar Abrar and Dr. Michael Ilter have authored a chapter on carve-out transactions in the recently published Germany M&A Practice Guide, a Lexology Getting the Deal Through (GTDT) publication.

The opening chapter, “Carve-out Transactions,” discusses the legal framework for carve-out transactions in Germany and examines the deal structures, planning and implementation strategies, and trends in the marketplace. The Practice Guide provides a topical and in-depth analysis of German M&A and explores emerging trends, legislative developments and practical issues affecting dealmaking in the country.

Kamyar Abrar is a partner in the Corporate & Financial Services Department, based in Frankfurt. His practice focuses on private equity and M&A transactions, including distressed transactions. He also counsels clients on a wide variety of antitrust and compliance issues, ranging from mergers and acquisitions, B2B exchanges, joint ventures and distribution practices to civil litigation.

Michael Ilter is a Frankfurt-based partner in the Corporate & Financial Services Department, advising on private equity and M&A transactions as well as on corporate law and reorganizations, capital markets law and financial regulatory matters. His practice focuses on representing international clients in complex national and cross-border mid and large cap private equity and M&A transactions. He also has extensive experience advising joint ventures, consortia, club deals and carve-out transactions.
