Mr. Needham to participate on panel entitled “The Magic Circle - The Taxation of Partnership Options and Compensatory Partnership Interests.”

On January 27, 2004, tax partner Andrew W. Needham will address the annual meeting of the Tax Section of the New York State Bar Association. Mr. Needham will serve as a speaker on a panel entitled “The Magic Circle - The Taxation of Partnership Options and Compensatory Partnership Interests.” The full day program will also cover tax issues related to Sarbanes-Oxley, recent legislative and regulatory developments, New York’s treatment of corporate partners, and ethical issues arising in everyday transactional practice. The annual meeting, which is co-sponsored by The New York Bar Foundation, will be held at the Marriott Marquis Hotel in New York City. Andrew Needham’s areas of specialty include the taxation of private equity funds, the taxation of mergers, acquisitions and spin-offs, and general tax planning for the preservation of net operating losses and other tax attributes. He also regularly advises clients on the creation of tax-advantaged financial instruments and other products, as well as on the development of non-conventional acquisition structures to exploit special tax characteristics or other attributes.
