Zurich Insurance Group/Cover-More/Travel Ace/Universal Assistance
Willkie represented Zurich Insurance Group in its agreement to acquire 19 travel assistance providers in Latin America, positioning its Cover-More Group as the leader in global travel insurance and assistance in the region.

CMA CGM/Mercosul Line
Willkie represented global shipping group CMA CGM in its acquisition of Mercosul Line from Maersk Line.

Pacific Exploration & Production Corp.
Willkie represents PricewaterhouseCoopers Inc. as the court-appointed monitor and authorized foreign representative of oil and natural gas enterprise involved in the exploration, development, and production of certain oil and natural gas interests, principally in Colombia, and, to a lesser extent, in other jurisdictions including Peru, Brazil, and Belize, Pacific Exploration & Production Corp. in chapter 15 proceedings in the United States Bankruptcy Court for the Southern District of New York, resulting in the restructuring of approximately $5.4 billion.

Swiss Re Corporate Solutions Announces Joint Venture with Bradesco Seguros
Willkie represented Swiss Re Corporate Solutions Ltd in its agreement to establish a joint venture with Bradesco Seguros, creating a leading commercial large-risk insurer in Brazil.

Celsia in its Acquisition of Seven Power Plants in Panama and Costa Rica 
Willkie represented Celsia SA, Colombia’s fourth-largest power producer, in its $840 million acquisition of stakes in seven power plants in Panama and Costa Rica from GDF Suez.

Largest Mexican Steel Maker Emerges from Suspension of Payments Proceeding  
Willkie represented Altos Hornos de México S.A.B. de C.V., Mexico’s largest steel maker, in its suspension of payments proceeding. As a result of the lifting of the suspension of payments, the claims against AHMSA (in the original amount of approximately US$1.7 billion) were converted into the right to receive payment in full, in Mexican pesos, three years from the lifting date. Eligible creditors had the option to elect to convert a portion of the three-year payment rights into a combination of cash and stock in AHMSA.

Zurich Financial Services in $1.67 Billion Joint Venture with Santander
Willkie represented Zurich Financial in its $1.67 billion deal to acquire a 51 percent stake in the Central and South American life insurance, pension and general insurance operations of Madrid-based Banco Santander SA.

Yildirim Group in Acquisition of Coal-Mining Assets in Colombia
Willkie advised Turkey-based Yildirim Holding A.S. in its purchase of  Colombian coal-mining assets from CCX Carvao da Colombia SA. The deal included two open-pit coal mines, one underground mine and a railroad and port logistics project.

Teva in Consumer Health Care Joint Venture with Procter & Gamble
Willkie represented Teva in its joint venture with The Procter & Gamble Company to combine their over-the-counter consumer health care businesses in Latin America and other markets worldwide.  

Brazil’s Folhamatic Group in Acquisition Agreement by UK-Based Sage Group
Willkie represented Folhamatic Group, a leading provider of accounting, tax and payroll, and regulatory content software in Brazil, in its acquisition agreement with Sage Group plc.

Level 3 in $3 Billion Acquisition of Global Crossing
Willkie represented international communications and information services provider Level 3 Communications, Inc. in its tax-free, stock-for-stock $3 billion acquisition (including Level 3’s assumption of $1.1 billion in debt) of Global Crossing Limited.

Loral & Space Communications Ltd. in Acquisition of Satellites Mexicano
Willkie represented Loral & Space Communications Ltd. in the acquisition and financing (privatization) of Mexican satellite system Satellites Mexicano (SATMEX).
