Willkie’s Retail Alternatives practice works across the broad spectrum of retail capital solutions, advising asset managers on capital raising strategies to expand access to alternative investment opportunities for the retail market.

What We Do

We work with clients in developing, offering, distributing, and operating key products, including:

  • Interval funds
  • Tender offer funds
  • Wealth management access funds
  • Direct participation programs, including BDCs, REITs, and commodity pools
  • 1934 Act registered private funds
  • Privately offered operating companies

How We Work

Our team enables sponsors to offer private market strategies to both institutional and individual investors, with features that may include evergreen capital, fully funded subscriptions, low investment minimums, simplified tax reporting, and periodic liquidity.

We work closely with clients to navigate the regulatory and operational complexities of managing retail capital, including fund formation and distribution, regulatory compliance, board relations, valuation, and other matters involved in these complex transactions. We have deep experience in the retail markets, including with registered and unregistered fund complexes that invest in a wide range of asset classes, including private equity, direct lending, credit and other income-oriented strategies, real estate, infrastructure, crypto, and other alternative asset classes.
