Massimo Palombi joined Delfino & Associati, Willkie Farr & Gallagher LLP in 2013 and is a counsel in the Corporate and Financial Services Department of the Milan office.
He specializes in business law, drafting of LOI, Term sheet, MoU, DD activities and relative coordination, assistance and advice on Merger & Acquisition activities, drafting shareholders’ agreements.
He has been involved in the drafting of memorandum, reports and notices of legislation changes.
Massimo is fluent in Italian and English.
Experience
He has experience in corporate and commercial law. His practice includes advice on national and cross-border M&A deals, as well as transactions for the lease or purchase of going concerns, He regularly counsels clients on general corporate matters, joint venture partnerships,, shareholders’’ agreements, compliance and governance matters, and directors’ liability.
Massimo has significant experience in distribution law (e.g. general terms and conditions, distribution agreements commercial agent agreement, e-commerce). He regularly assists Italian and international clients in drafting distribution agreements and perusing such agreements within M&A transactions.
In addition, Massimo has been involved in several matters relating to the fashion and luxury market and has developed a deep knowledge of the industry, including its IP profiles.
He has also gained significant experience representing both investors and debtors in connection with insolvency proceedings, restructurings, and asset dispositions.
Massimo served for one year in the firm’s office in New York, and continues to be active in the firm’s international practice.
