Topic: Say-on-Pay and the enhanced scrutiny on executive compensation raise many practical issues that must be handled by a company’s legal counsel. This program will focus on the day-to-day issues confronting lawyers in the course of advising companies in connection with the review and redesign of their executive compensation programs and proxy disclosure, including: an overview of current proxy advisor guidelines; recommended practices to prepare for potential shareholder derivative lawsuits; 409A and other legal obstacles to revising compensation arrangements; and effective communications with shareholders to gain approval of a Say-on-Pay vote.

This program, is designed to provide advice to lawyers who practice in the corporate governance, executive compensation, employment and general corporate areas.
