Eduardo Fernandez is a partner in Willkie’s Corporate & Financial Services Department based in Paris. Eduardo focuses on mergers and acquisitions, private equity transactions and corporate finance.
A native New Yorker, Eduardo commenced his career as an associate in Willkie’s New York office. He is fluent in English, French and Spanish.
Eduardo was awarded the ILO 2013 Client Choice Award for "Best M&A Lawyer - France," and Chambers Europe, Chambers Global and several other professional guides, including Legal 500, rank him among the leading individuals practicing in Private Equity (High End Capability) and Corporate/M&A in France. Eduardo was designated Best Lawyer in France for private equity (capital-risque) in the 2017 edition of the peer survey, which appeared in the June 6, 2017 edition of the daily newspaper Les Echos.
Mergers and Acquisitions/Private Equity
Eduardo has extensive experience advising both privately held and publicly listed companies on French domestic and cross border acquisitions and dispositions and joint ventures in a broad range of industries, including in the business services, consumer products, food and healthcare sectors.
Eduardo also regularly represents leading private equity sponsors on leveraged buy-outs, late stage growth capital investments and distressed M&A opportunities.
According to Mergermarket, Eduardo ranked amongst the most prolific M&A legal advisers in France in 2016.
In the area of corporate finance, Eduardo has represented issuers in cross-border debt private placements aggregating more than $20 billion, including some of the most significant “Section 4(a)(2)” private placements originated in France in the past several years for issuers such as Air Liquide, Bonduelle, Essilor, Ipsos, Sodexo, Sonepar and Yoplait.
Eduardo also advises selling shareholders in both initial public offerings and accelerated book-building or similar transactions.
