Willkie represented Sixth Street, a leading global investment firm, in its acquisition of Talcott Resolution Life Insurance Company from a consortium of investors.

On January 20, it was announced that Willkie client Sixth Street, a leading global investment firm, entered into a definitive agreement to acquire Talcott Resolution Life Insurance Company from a consortium of investors, led by Cornell Capital LLC, Atlas Merchant Capital LLC, TRB Advisors LP, Global Atlantic Financial Group, Pine Brook, J. Safra Group, and The Hartford.

Talcott Resolution is a leading strategic partner for the insurance industry, offering a broad range of execution-focused capabilities, state-of-the-art technology and analytics, and in-force and new business solutions that provide capital flexibility and risk management efficiencies. It manages over $90 billion in liabilities and surplus for approximately 900,000 customers across the span of the Talcott businesses, including nearly 600,000 annuity contract holders.

The deal is expected to allow Talcott to continue its highly successful transformation and growth strategy implemented in partnership with the investor consortium.

Sixth Street is a global investment firm with over $50 billion in assets under management and committed capital, operating nine diversified, collaborative investment platforms. Founded in 2009, Sixth Street has more than 320 team members including over 145 investment professionals in nine locations around the world.

The multidisciplinary Willkie deal team was led by partners Robert Rachofsky and Allison Tam, counsel Yevgeniy Markov and associates Donald Casey and John DiNapoli, and law clerk Myia Williams.
