Xavier Dieux is a partner in the Corporate and Financial Services Department of Willkie Farr & Gallagher LLP in Brussels.  Mr. Dieux specializes in domestic and international corporate acquisitions and divestitures, public offerings, securities and corporate finance, and business reorganization and restructuring.  He also has a strong expertise in corporate and commercial litigation and arbitration.  Additionally, under his leadership, the Brussels office has significantly developed its practice in real estate investment vehicles.

Mr. Dieux advises and assists leading banking and financial institutions as well as listed companies in major Belgian and foreign merger and acquisition deals.  He represents Belgian and foreign companies before Belgian and arbitral courts, and often intervenes as arbiter (designated under the ICC rules or under those of its Belgian equivalent, the Cepani), in the context of complex international commercial and financial litigation.  His advice is regularly sought by parliamentary and ministerial commissions in the drafting and implementation of new banking, finance, and company law legislation.

Chambers Europe (2011) and Chambers Global (2011) rank Mr. Dieux among the leading individuals practicing in the area of Corporate/M&A in Belgium.

Selected Professional and Business Activities

Mr. Dieux served as Dean (1996-2000) and is currently a professor at the Université Libre de Bruxelles, where he teaches courses on civil law (contracts and torts), commercial law, and comparative commercial law.

Mr. Dieux was appointed as a member of the Board of the Belgian Governance Institute.   From 1999 through 2002, he served as a member of the Commission for Banking and Finance (the Belgian equivalent of the U.S. Securities and Exchange Commission).

Mr. Dieux is the author of numerous articles in the fields of civil, commercial, finance, and company law, published in major scientific and academic law journals.

Mr. Dieux is fluent in French, English and Dutch.

Prior Experience

Prior to joining Willkie as partner in 2002, Mr. Dieux was a partner at Dieux Geens Cornelis (1994-2001) and the firm Van Ryn and Partners (1986-1994).
