Daniel Schloendorn is a partner in the Asset Management Group of Willkie Farr & Gallagher LLP in New York.  Mr. Schloendorn has a broad corporate practice with a particular emphasis on investment management, hedge funds and private equity funds.  He is also an active practitioner in merger and acquisition transactions involving financial services companies.

Mr. Schloendorn’s practice focuses principally on the formation and operation of U.S. and offshore hedge funds, funds of funds and private equity funds, including stand-alone, side-by-side and master/feeder structures and funds offered exclusively to insurance separate accounts; the organization and ongoing advice to management companies, including compliance matters, seed capital arrangements, employment and joint venture matters; acquisitions of investment managers; advice to institutional investors and family offices relating to investments in hedge funds and private equity funds; and status issues under the Investment Company Act of 1940.

Chambers USA (2011) and Chambers Global (2012) rank Mr. Schloendorn among the leading individuals nationally practicing in the area of Investment Funds: Hedge Funds.  He has also been named to The International Who's Who of Private Funds Lawyers 2012 for being among the world’s leading lawyers for private funds.

Mr. Schloendorn is a member of the American Bar Association's Banking and Business Law Committee, and the Association of the Bar of the City of New York, where he currently serves on the Private Investment Funds Committee.

Selected Significant Matters
  • Represented Macquarie Group Ltd., Australia’s largest financial services and investment firm, on regulatory matters in connection with its $428 million acquisition of Delaware Investments Holding Inc. from Lincoln Financial Group.

  • Represented Neuberger Berman on regulatory matters in connection with the acquisition by its senior management team from Lehman Brothers Holdings Inc. of a majority interest in Neuberger Berman's business and the fixed income and the alternative asset management businesses of Lehman Brothers’ Investment Management Division.

  • Represented Partners Group, a Zurich-based private equity firm, in the acquisition of the discretionary real estate asset management of US-based Pension Consulting Alliance.

  • Represented Swiss Reinsurance Company in the sale of a portfolio of private equity fund interests to a newly-formed limited partnership with Horizon21 serving as the general partner and whose limited partners are Swiss Re, Horizon21 and two other institutional investors.

  • Acted as counsel to Normandy Hill Capital in connection with its launch of a distressed securities hedge fund via seed capital provided by a third party in the amount of $100 million.

  • Acted as counsel to Standard General Management in connection with the formation of a master/feeder hedge fund and a $100 million seed capital contribution from a third party.
