Deborah A. Tuchman is a partner in the Asset Management Department in New York. She has extensive experience representing hedge funds, funds of funds, commodity pools, investment advisers and distributors of investment funds. Deborah focuses on advising clients in connection with structuring domestic and offshore funds, negotiating side letters, separately managed account agreements and placement agreements, trading and conflict issues, and regulatory compliance. She also routinely advises family office clients and other high net worth and institutional investors in connection with investments in private investment funds and co-investment vehicles.

Experience

Deborah previously served as secretary of the New York City Bar Association’s Private Investment Funds Committee. Deborah is also an active member of the Managed Funds Association, serving on its CTA, CPO and Futures Steering Committee, CPO Working Group and Outside Counsel Forum. She is also a member of the Futures Industry Association.

  • Formation and ongoing representation of hedge funds and funds of funds
  • Negotiate separately managed account agreements and side letters
  • Advise investment managers on broad spectrum of Advisers Act and Commodity Exchange Act regulatory issues
  • Advise family offices on investments in private equity funds, hedge funds and co-investment vehicles and negotiate side letters and secondary private equity interest purchase agreements on their behalf
  • Advise financial institutions on distribution of interest in hedge funds, commodity pools and other investment vehicles
  • Assist investment managers with SEC and CFTC registration and ongoing compliance and reporting (Forms ADV, PF, PQR, PR, etc.)
