Neesa Patel Sood is counsel in the Asset Management Group. Her practice focuses on providing regulatory, compliance and transactional advice relating to mutual funds, exchange-traded funds, closed-end funds and their investment advisers. She regularly provides advice regarding the structuring, launch and operation of registered investment companies and fund governance. She has represented fund sponsors in initial public offerings of closed-end funds and secondary market financings, including rights offerings. Neesa works on transactions involving funds and their advisers, including fund reorganizations and adoptions and merger and acquisition transactions.

  • Represented multiple sponsors in connection with launching their first publicly-traded ETFs.
  • Represented various fund managers in the organization and offering of several unique "alternative" mutual funds.
  • Represented multiple fund sponsors in negotiation of service and advisory arrangements with third parties.
  • Represented several major fund sponsors in the consolidation of their fund products.
  • Represented investment advisers and registered fund complexes in seeking exemptive orders from the SEC.
  • Represented a closed-end fund sponsor in one of the first shelf registrations of a closed-end fund as a well-known seasoned issuer.
  • Represented multiple sponsors in closed-end fund initial public offerings.
  • Advised several closed-end funds in shelf-offerings of rights to acquire common stock.
  • Advised closed-end funds in actions to address discounts and responding to activist shareholders.
  • Represented adviser in connection with adoption of interval fund.
  • Represented clients in asset management M&A transactions, including Victory Capital in its acquisition of USAA Asset Management Company.

Neesa serves on the Advisory Committee for the Willkie Farr & Gallagher LLP Greater D.C. Community Foundation, which supports educational and enrichment programs and initiatives for underserved youth in the greater Washington DC area. She serves as the liaison to Horton’s Kids, the Foundation’s current principal grantee.
