Jason Nasra is counsel in the Corporate & Financial Services Department in Willkie's Houston office. He primarily represents private equity firms and corporate clients in project development, mergers and acquisitions, joint ventures, commercial transactions, and matters of corporate governance, in the energy infrastructure space, with a particular emphasis in midstream, transportation, storage, renewables and liquefied natural gas. Prior to becoming a lawyer, Jason managed the international credit group for a global leader in natural gas compression and integrated oil and gas field solutions and has extensive experience in working with and negotiating trade finance and credit instruments. 

Jason has been recognized as a Super Lawyers Texas Rising Star in the area of Energy and Natural Resources.

Project Development and Transactions Experience

  • Mitsui & Co., Ltd. in its participation agreement with Sempra Infrastructure, TotalEnergies and Mitsubishi Corporation for the development of the Hackberry Carbon Sequestration project
  • PBF Energy on the formation of a renewable diesel joint venture with Eni Sustainable Mobility
  • Harvest Midstream Company in connection with the development of a small-scale LNG project in North Slope, Alaska
  • Haddington Ventures on the creation of a $650 million equity syndication program to finance construction of the world's largest green hydrogen platform
  • Caliche Development Partners in connection with the development and marketing of storage capacity at its hydrocarbon storage assets in Southeast Texas, including in all aspects of the development of an ethylene / LPG export project 
  • Southern Company Gas (formerly AGL Resources) in a joint venture with Wespac Midstream (an Oaktree Management-sponsored company) to develop a small-scale LNG production facility and LNG barge distribution business in Florida (supplying LNG as fuel to shipping industry customers)
  • A midstream portfolio company of Juniper Capital in connection with the development of a gas gathering and processing system in the D-J Basin
  • Toshiba Americas, LNG in connection with natural gas procurement and an asset management agreement in respect of its tolling arrangement with Freeport LNG
  • Hawai'i Gas, a Macquarie-sponsored company and gas utility of Hawai'i, in all aspects of developing a floating LNG import project, which included procuring long-term bulk LNG supply and complicated ship to shore and island to island transportation logistics
  • A major petroleum company in multiple aspects of a Mozambique LNG project, including LNG supply commitment agreement, port logistics agreement, LNG vessel time charters, LNG purchase and sale agreements and other critical project development agreements
  • Endeavor Energy, a Denham Capital-sponsored company, in its development of floating regasification vessel-to-power projects in Ghana and Ivory Coast
  • A U.S. based Indo-American company in connection with the development of an LNG terminal use agreement associated with its planned floating LNG import project in India
  • A consortium of Indian LNG buyers in connection with a long-term LNG purchase agreement with a U.S. Gulf Coast LNG seller
  • SunPower in the financing and development of distributed generation solar array at the Toyota North American Corporate Headquarters in Plano, Texas

  • Pan Energy Infrastructure Fund in its investment in Trinity Gas Storage, LLC
  • Sentinel Midstream LLC, a portfolio company of Cresta Fund Management, on joint venture investments with Exxon to form Enercoast Midstream and Enercoast Midstream Louisiana LLC 
  • Available Power in its strategic partnership with Linxon 
  • Caliche Development Partners II, an energy storage business, in its capital commitment transaction with Orion Infrastructure Capital and GCM Grosvenor and two related acquisitions
  • The CapStreet Group, in its platform acquisition of Specter Instruments (WIN-911), a developer of remote alarm notification software, and follow-on acquisition of SyTech, Inc., a developer of software and analytic solutions for process automation and industry
  • Black Knight Energy, a private energy company formed to pursue the acquisition and development of large, cash flowing oil and natural gas assets across the lower 48 states, and its management team in its $500 million equity commitment from Kayne Anderson Capital Advisors
  • Enstor in the sale of Waha Gas Storage Facility to WhiteWater Midstream
  • Zenith Energy in the acquisition of the assets of Bulk Terminal Storage from Guttman Realty
  • Energy Spectrum in the sale of Coastal Caverns, Caliche Development Partners' energy storage platform
  • GE Oil & Gas Inc. in its $550 million acquisition of Cameron International's reciprocating compressor division
  • Huntington Ingalls Industries, Inc. in its acquisition of project management and engineering firm, UniversalPegasus International Holdings, Inc.
  • FlexGen Power Systems in a spin-off and subsequent Series A financing with a Denver-based venture investment firm, including subsequent equity and bridge financings

Select Maritime Experience

  • A marine working group of collective Gulf Coast LNG buyers in connection with the procurement of tug services for the buyers' respective LNG vessels calling at the Gulf Coast-based LNG export terminal
  • A private-equity backed Mexican services company and its Panamanian affiliate in a $50 million dollar leveraged acquisition of a fleet of platform supply vessels used in Mexican offshore oil and gas operations
  • A large financial institution in connection a $100 million financing of hydrocarbon transport articulated tug barges for Bouchard Marine
  • Cleco Corporation in respect of a $20 million financing of a fleet of petcoke barges
  • Lafarge Holcim on various Jones Act compliance matters associated with its vessel fleet utilized in the coastwise trade
