Jack H. Nusbaum (1940 – 2021)

Senior Partner

Jack H. Nusbaum, who sadly passed away on January 11, 2021, was a senior partner and served as the firm’s Chairman from 1987 through 2009. He focused on mergers and acquisitions, corporate governance and fiduciary duties, and internal investigations. He also regularly advised boards of directors of public companies on issues of fiduciary duty and corporate governance, particularly in the context of change in control transactions.

His practice over the years was primarily in the area of M&A and more recently as a corporate governance and fiduciary duties expert representing boards of directors and committees of boards of directors.

Experience

Jack served as a director of publicly held companies W.R. Berkley Corporation and Cowen & Co. He also served as President of The Joseph Collins Foundation. Additionally, Jack was a member of the Legal Advisory Committee to the Board of Directors of the New York Stock Exchange and a member of the Board of Advisors of the New York University Center for Law & Business.

Jack was a member of the American Bar Association.

Jack spoke at numerous conferences and seminars on various issues, including accounting irregularities, the Cendant investigation, poison pills and other defensive mechanisms, managing board crises, change in control transactions, and the fiduciary duties of officers and directors of public companies.

  • Lead partner on numerous Private Equity transactions including the historic R.J.R. Nabisco buyout
  • Lead counsel on going private transactions including most recently J. Crew and Kenneth Cole
