Bruce C. Herzog is a partner in the Corporate and Financial Services Department, focusing on private equity matters, including complex leveraged buyouts, venture capital investments, portfolio company acquisitions, and financings and liquidity transactions.  He also regularly handles fund formation projects, implements fund compensation arrangements, and advises fund principals with respect to liability issues.  Bruce has particular experience working with private equity firms in the energy sector in addition to the telecommunications, diversified manufacturing and life sciences sectors.

Selected Significant Matters

For over 25 years, Bruce’s practice has been dedicated to private equity transactions and projects. While a majority of his practice involves leveraged buyouts and other fund investment activities, Bruce also regularly handles fund level projects such as the formation of funds, fund governance and fund economic arrangements.  Given his roots as a native of Houston, Bruce has worked with many of the most active and most prominent energy funds over his career including SCF Partners, Lime Rock Partners, Quantum Energy, Riverstone Holdings, First Reserve, Post Oak Capital and Parallel Resources.  Work for these energy firms include LBOs of domestic and global energy service companies, “equity lines” for management-backed E&P companies and a wide range of portfolio company M&A, finance and exit transactions. In addition to energy firms, Bruce represents middle market industrial buyout firms, telecommunications funds and many of their portfolio companies. 

Prior Experience

Prior to joining Willkie, Bruce was a partner at Vinson & Elkins, where he served as Co-Chair of the firm’s private equity practice.  He was also previously the Co-CEO of Genesis Park, a Houston-based venture capital firm (2000-01), and served as law clerk to the Honorable Homer Thornberry of the U.S. Court of Appeals for the Fifth Circuit (1988-89). 

Selected Professional and Business Activities

Bruce is a member of the American Bar Association, the Houston Bar Association, and the Association of the Bar of the City of New York.  He is also a former director of the Texas Children's Hospital Cancer Center Advisory Board, a former director of the Contemporary Arts Museum, Houston, Texas, and a former member of St. John's School Alumni Board.
